Thara Cart Coins Terms and Conditions

The following Thara Cart Coins reward terms and conditions ("Reward Terms") apply to both Buyers and Sellers as defined in the terms of use found on the Thara Cart platform (“Terms of Use”) on the website (www.tharacart.com) and mobile application (referred to collectively as the "Platform"), owned and operated by Thara Cart India Private Limited ("Thara Cart"). By participating in the rewards program/schemes ("Program"), you are agreeing to be bound by these Reward Terms. By accepting these Reward Terms, you are also agreeing to any amendments, updates, and modifications to the Reward Terms and other policies that may be made from time to time. Buyers and Sellers acknowledge and accept the importance of regularly reviewing these Reward Terms and agree to be bound by any changes or modifications.

These Reward Terms, along with any additional terms, should be considered in addition to the Terms of Use and privacy policy found on the Platform ("Privacy Policy"), which you agreed to when registering your account. If there is any inconsistency between the Terms of Use and these Reward Terms, the Reward Terms will prevail for the Program. Thara Cart reserves the right to modify or remove these Reward Terms at any time without prior notice.

While participating in the Program, Thara Cart has the option to offer loyalty points, referred to as "TC Coins," to both Buyers and sellers (referred to as "Thara Cart Coins"). Buyers may be eligible to earn Thara Cart Coins when making transactions on the Platform, as long as they meet the eligibility criteria outlined in the Program. Thara Cart Coins are only distributed to eligible Buyers after the returns period specified in the Terms of Use has passed.

Each Thara Cart Coin is valued at INR, however, Thara Cart reserves the right to adjust the calculation method as deemed necessary. Buyers can track the total Thara Cart Coins they have earned in the "Rewards" section of the Platform.

1. Term and Validity

1. Thara Cart Coins earned by the Buyer will remain valid for 365 days from the date of credit in the Buyer's account on the Platform or as communicated by Thara Cart. The validity period may be subject to the conditions of the Program or as displayed on the Platform. In the event of any discrepancies in the validity of Thara Cart Coins between the Reward Terms and the Program, the lower validity period will prevail. Redemption of Thara Cart Coins will not be possible after their expiry.
2. Thara Cart Coins are non-extendable and non-negotiable.

2. Eligibility

1. To qualify for benefits under the Program, the Buyer may need to register on Thara Cart.
2. Upon adhering to the Terms of Use, the Buyer can utilize Thara Cart Coins during transactions on the Platform.
3. Thara Cart Coins provided by Thara Cart can be used in the following ways: 
   1. Redeemed towards the total transaction amount due by the Buyer for future purchases on the Platform; or
   2. In accordance with Program terms communicated by Thara Cart as necessary.
4. Thara Cart Coins under these Reward Terms are not convertible to cash.

3. Confidentiality

Each party acknowledges and agrees that in connection with these Reward Terms, the Buyer must not disclose any Confidential Information of the Thara Cart to any third party. "Confidential Information" includes any information or data of a confidential nature, including but not limited to application, network configuration, documents, accounts, business plans, products, promotional and marketing plans, processes, and any other information of Thara Cart. The Buyer must ensure that neither the Buyer nor any of its employees reverse engineer, decompile, or disassemble any software or technology shared by Thara Cart. The Buyer and its employees must not use or disclose the Confidential Information of Thara Cart without prior written consent from Thara Cart.

4. Indemnification and Limitation of Liability

1. Buyer agrees to indemnify and hold harmless Thara Cart, its officers, directors, employees, customers, and affiliates from any claims, losses, suits, proceedings, actions, liabilities, damages, expenses, and costs (including attorney's fees and court costs) resulting from the Buyer's breach or alleged breach of representations or obligations under the Reward Terms, failure to comply with applicable laws, or any acts of negligence, misrepresentation, or fraud perpetrated by the Buyer.
2. Thara Cart or its affiliates will not be held accountable for any direct, indirect, incidental, special, punitive, or consequential damages, including loss of profits, incurred by the Buyer or any third party in relation to this Program. Despite the above, Thara Cart's total liability for any claims or liability arising from or in connection with this Program will not exceed INR 100/-.
3. Thara Cart Coins are non-transferable, and any fraudulent activity or misuse of the Program by the Buyer may result in forfeiture of the Thara Cart Coins without notice. Thara Cart reserves the right to terminate the Program for the Buyer immediately and the Buyer consents that Thara Cart's decision in this matter is final and binding. The Buyer agrees not to bring any claims against Thara Cart for the termination or cancellation/forfeiture of Thara Cart Coins.
4. Buyer acknowledges that Thara Cart is not involved in and will not be held responsible for any disputes, chargebacks, or reversals.
5. This Program may be affected by circumstances beyond Thara Cart's control, such as floods, natural disasters, war, terrorist acts, political unrest, technical issues, acts of God, changes in laws, or any similar events (referred to as "Force Majeure Events"). Thara Cart will not be held liable for any delays or negative impacts on the Program caused by a Force Majeure Event.
6. This Program is subject to all relevant laws, rules, and regulations currently in effect, as well as any future regulations that may be instituted by governing authorities.
7. Any necessary communication, notice, or request outlined in these Reward Terms must be provided in writing to Thara Cart or to the Buyer.
8. By participating in this Program, the Buyer agrees to adhere to our Privacy Policy and Terms of Use. The Buyer also consents to Thara Cart utilizing their personal information, as well as any information provided during the Program, for the purpose of providing benefits in accordance with the Privacy Policy. The Buyer is responsible for promptly informing Thara Cart of any unauthorized use or access to user data and cooperating in the investigation and mitigation of any breaches.
9. In the event that any provision of these Reward Terms is deemed invalid or unenforceable, such determination shall not impact the validity or enforceability of any other provisions within these terms.
10. Thara Cart and the Buyer operate as independent contractors, with no party having the authority to direct or control the daily activities of the other. Additionally, these Terms do not establish a partnership, joint venture, or any other joint arrangement between the parties. The Buyer is not authorized to incur obligations on behalf of Thara Cart for any reason.
11. Any attempted transfer, assignment, or delegation without prior written consent shall be considered invalid. Thara Cart reserves the right to assign or transfer these Reward Terms to any individual for any reason. Furthermore, these Reward Terms will remain binding and beneficial to the successors and permitted assigns of each party.
12. The Terms will be governed by Indian law, and the courts of Hyderabad will have sole jurisdiction to address any claims related to them.
